Limadata Terms of Service

By accessing or using Limadata’s website, APIs, data, documentation, or related services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with these Terms, you may not access or use Limadata’s services.

For purposes of these Terms, “Limadata,” “we,” “us,” and “our” refer to Limadata. “You” refers to the individual or entity accessing or using the Services. “Services” refers to Limadata’s website, APIs, data, documentation, tools, and related products or services.

Use of Services

Subject to these Terms and your purchased plan, Limadata grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for integration with your applications, products, workflows, or internal business systems.

This is a license to use the Services, not a transfer of ownership or title. All rights not expressly granted to you are reserved by Limadata.

API Credentials and Restrictions

You are responsible for maintaining the confidentiality and security of your API credentials, account access, and any activity that occurs under your account.

You may not:

  • modify, copy, reverse engineer, decompile, or attempt to derive the source code or underlying structure of any part of the Services;
  • attempt to circumvent API rate limits, usage limits, billing systems, authentication mechanisms, or access controls;
  • remove any copyright, trademark, proprietary, or other legal notices from the Services or related materials;
  • share, sell, lease, transfer, or disclose your API credentials to another person or entity without our prior written permission;
  • use the Services in a way that violates applicable laws, regulations, or third-party rights;
  • resell, redistribute, publish, or make available raw API data as a standalone product or database without prior written permission from Limadata;
  • use the Services to build, train, or improve a competing data product or service without prior written permission from Limadata.

Data Use Rights

Subject to these Terms, you may use data obtained through the Services to create derivative works, enrich records, power workflows, improve your applications, or support internal business operations.

You are responsible for determining whether your use of any data obtained through the Services complies with applicable laws, regulations, contractual obligations, and your own privacy policies.

Limadata does not guarantee that all data returned through the Services will be accurate, complete, current, or suitable for your specific use case.

Customer Compliance Obligations

You are solely responsible for ensuring that your access to and use of the Services, including your collection, use, storage, disclosure, transfer, and other processing of any data obtained through the Services, complies with all applicable laws, regulations, industry rules, contractual obligations, and third-party rights.

This includes, without limitation, laws and regulations related to privacy, data protection, marketing, anti-spam, employment, consumer protection, intellectual property, and electronic communications.

You are also responsible for ensuring that your products, services, applications, workflows, systems, and end users that use or rely on data obtained through the Services comply with all applicable laws and regulations.

You agree that you will not use the Services or any data obtained through the Services in a way that violates applicable law, infringes the rights of any person or entity, or causes Limadata to violate any applicable law or third-party obligation.

Fees, Plans, and Usage

Your access to certain Services may depend on your selected plan, purchased credits, usage limits, or other commercial terms agreed to with Limadata.

You are responsible for all fees, charges, and usage associated with your account. Limadata may suspend or limit access to the Services if your account exceeds applicable limits, payment fails, or your use violates these Terms.

Unless otherwise agreed in writing, fees are non-refundable.

Accuracy of Data and Service Changes

Limadata provides access to business data, enrichment, search, and related API services. While we work to maintain accurate, current, and reliable data, the Services may include technical, processing, or data-related errors.

Limadata does not warrant that any data, materials, or Services are accurate, complete, current, error-free, or suitable for any particular purpose.

We may update, modify, suspend, discontinue, or change any part of the Services at any time, with or without notice. We are not obligated to update any particular data, feature, endpoint, or material.

The Services may contain links to third-party websites, services, or resources. Limadata is not responsible for the content, accuracy, availability, or practices of any third-party websites or services.

The inclusion of any third-party link does not imply endorsement by Limadata. Your use of third-party websites or services is at your own risk.

Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to access and use the Services will cease immediately.

You must stop using the Services and, where required, delete or destroy any materials obtained through the Services in your possession or control.

Sections that by their nature should survive termination, including payment obligations, restrictions, disclaimers, limitation of liability, customer compliance obligations, and governing law, will survive termination.

”AS IS” and “AS AVAILABLE” Disclaimer

The Services are provided to you “AS IS” and “AS AVAILABLE,” with all faults and defects, and without warranty of any kind.

To the maximum extent permitted under applicable law, Limadata, on its own behalf and on behalf of its affiliates, licensors, suppliers, and service providers, expressly disclaims all warranties, whether express, implied, statutory, or otherwise, with respect to the Services, including all implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties that may arise out of course of dealing, course of performance, usage, or trade practice.

Without limitation to the foregoing, Limadata provides no warranty or undertaking, and makes no representation of any kind, that the Services, website, APIs, data, documentation, or information provided through the Services will meet your requirements, achieve any intended results, be compatible with or work with any particular software, applications, systems, or services, operate without interruption, meet any performance or reliability standards, be error-free, or that any errors or defects can or will be corrected.

Without limiting the foregoing, neither Limadata nor any of Limadata’s providers makes any representation or warranty of any kind, express or implied:

  • as to the operation or availability of the Services;
  • as to the accuracy, reliability, completeness, or currency of any data, information, content, materials, or products provided through the Services;
  • that the Services, website, APIs, content, data, or emails sent from or on behalf of Limadata are free of viruses, scripts, trojan horses, worms, malware, timebombs, or other harmful components.

Some states or countries do not allow the exclusion of certain warranties, which means that some of the above exclusions may not apply. In those states or countries, warranties will be excluded to the greatest extent permitted by law.

Limitation of Liability

Notwithstanding any damages that you might incur, the entire liability of Limadata and any of its suppliers under any provision of these Terms, and your exclusive remedy for all of the foregoing, shall be limited to the amount actually paid by you through the Services or $100 if you have not purchased anything through the Services.

To the maximum extent permitted by applicable law, in no event shall Limadata, its affiliates, suppliers, licensors, service providers, officers, directors, employees, agents, or representatives be liable for any special, incidental, indirect, consequential, exemplary, or punitive damages whatsoever, including without limitation damages for loss of profits, loss of revenue, loss of data, business interruption, loss of goodwill, or cost of substitute services, arising out of or related to your use of or inability to use the Services, even if Limadata or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.

Some states or countries do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply. In these states or countries, each party’s liability will be limited to the greatest extent permitted by law.

Changes to These Terms

Limadata may revise or update these Terms at any time. If we make material changes, we may provide notice through the Services, by email, or by other reasonable means.

Your continued use of the Services after updated Terms become effective means you agree to the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.

Governing Law

These Terms and any claim or dispute arising out of or related to the Services shall be governed by the laws of the State of Delaware, without regard to its conflict of law principles.
